By accessing or using the Service, you affirm that you:

Eligibility and Registration
To use certain features of the MBSL platform, including personalized tools and saved preferences, you may be required to register and create a user account.
By registering, you represent and warrant that:
You are at least eighteen (18) years of age;
You are a resident of Canada or the United States, or if outside these countries, you are using the platform in accordance with the laws and regulations of your local jurisdiction;
You are legally permitted to enter into this Agreement and use MBSL’s educational Services;
All information you provide during registration is truthful, accurate, current, and complete.
You agree to:
Maintain and promptly update your account information to keep it accurate and current;
Keep your login credentials confidential and not share your account with others;
Accept full responsibility for all activities that occur under your account.
If MBSL has reasonable grounds to suspect that the information you have provided is untrue, inaccurate, not current, or incomplete, we reserve the right to suspend or terminate your account and deny current or future access to the Services.
You may close your account at any time via your user dashboard. We also reserve the right to suspend or terminate your account at our sole discretion for violations of these Terms or any related policy.
IMPORTANT: MBSL is an educational platform and not a medical provider. You must not use the Service to submit or store sensitive personal health information, including data protected under HIPAA, PHIPA, or any similar regulation.
User Content and Communications
As part of your use of the MBSL platform, you may have the ability to post, submit, upload, or transmit content to or through the Service, including (but not limited to) feedback, comments, form inputs, text responses, or other materials (collectively, “User Content”).
By submitting User Content, you acknowledge and agree that:
You are solely responsible for the accuracy, legality, and appropriateness of any content you provide;
Your content must not violate the intellectual property rights, privacy rights, or other legal rights of any third party;
Your content must comply with MBSL’s Acceptable Use Policy (see Section 15);
User Content must not contain any sensitive personal health data, medical records, or other information governed by HIPAA, PHIPA, or similar health privacy laws.
You retain ownership of any content you submit. However, by submitting User Content to MBSL, you grant us a non-exclusive, worldwide, royalty-free, fully sublicensable, and transferable license to use, reproduce, display, modify, adapt, publish, translate, and distribute such content in connection with providing the Service.
We may use your User Content to:
Improve our platform features
Train or evaluate AI tools
Respond to inquiries or support requests
Develop anonymized insights to better understand community needs and behaviors
You understand that MBSL does not actively monitor all submitted content but reserves the right to remove or disable any User Content that violates our policies or is deemed inappropriate in our sole discretion.
Any communication you make with MBSL (e.g., through contact forms or feedback tools) is considered non-confidential unless otherwise stated. We may use suggestions, ideas, or feature requests for the purpose of enhancing the Service without any obligation to compensate you.
Subscriptions, Billing, and Refunds
Certain features or services offered on MBSL may be provided on a subscription basis (“Subscription(s)”), requiring periodic payment. If you enroll in a paid Subscription, the following terms apply:
Billing Cycle
Subscriptions are billed in advance on a recurring basis (“Billing Cycle”), typically monthly or annually, depending on the plan you select at checkout. Unless canceled, your Subscription will automatically renew at the end of each Billing Cycle under the same terms.
Payment and Billing Information
To subscribe, you must provide a valid payment method (e.g., credit card or other accepted method) and accurate billing details, including your name, billing address, and contact information.
By providing payment information, you authorize MBSL to:
Charge your selected payment method at the beginning of each Billing Cycle
Automatically renew your Subscription unless canceled in advance
Notify you of any failed transactions and provide instructions for resolving billing issues
If automatic billing fails for any reason, you will be notified and given a limited grace period to complete payment manually.
Free Trials
MBSL may offer free trials for certain tools or services. If a trial is offered, you may be asked to provide payment information at signup. You will not be charged until the trial period ends. If you do not cancel before the trial expires, your selected payment method will be charged automatically.
We reserve the right to modify or terminate free trial offers at any time without notice.
Subscription Changes and Cancellation
You may upgrade, downgrade, or cancel your Subscription at any time through your account settings. Downgrades or cancellations take effect at the end of your current Billing Cycle. We do not offer prorated refunds for partially used subscription periods.
Refunds
Refunds are issued only in rare, exceptional cases and are evaluated individually at MBSL’s sole discretion. Contact our support team if you believe there has been an error or issue with billing. Refunds will not be issued for dissatisfaction with educational content or tools unless a technical failure occurred.
Use of AI Technology
MBSL offers certain tools and features that utilize artificial intelligence (AI) to provide educational insights, recipe assessments, food swap suggestions, and blood sugar–related analysis. These tools are designed to assist you in understanding general nutritional patterns and their potential impact on blood sugar management.
By using any AI-powered feature on MBSL, you acknowledge and agree that:
AI-generated insights are for educational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment.
The AI tools may use publicly available nutritional databases, user-submitted inputs, and anonymized interactions to generate recommendations.
AI recommendations may not always be accurate, complete, or up to date.
You are solely responsible for evaluating the appropriateness of AI-generated feedback for your personal health situation.
You must consult with your physician, registered dietitian, or certified diabetes educator before acting on any AI-based recommendation—especially if you are using insulin, oral medications, or managing a chronic condition.
MBSL assumes no liability for any outcomes, adverse reactions, or inaccuracies resulting from the use of AI tools. You use these features at your own risk and agree not to hold MBSL liable for decisions made based on AI-generated content.
We continuously work to improve the performance of these tools but cannot guarantee their precision, applicability, or safety for your unique medical condition.

The information and tools provided on MBSL are for educational and informational purposes only and are not intended to serve as a substitute for professional medical advice, diagnosis, or treatment.

Additionally, MBSL is not a HIPAA- or PHIPA-covered entity and does not collect or store regulated health data. You are advised not to input protected health information (PHI) into any part of the platform.
If you think you may have a medical emergency, call your doctor or local emergency services immediately.

The MBSL platform may include links to third-party websites, services, or tools (“Third-Party Services”) that are not owned or controlled by MBSL. These may include:

Acceptable Use Policy

Attempts to bypass rate limits, access restrictions, or use scraping technologies to extract data from the platform;
Uses MBSL tools or insights for commercial resale, redistribution, or publication without permission.
We reserve the right to monitor use of the platform and remove or restrict access to any account or content that violates these guidelines.
MBSL is a platform for education and support. Any attempt to misuse, manipulate, or disrupt the platform or its community will result in suspension or permanent termination of access.
Intellectual Property
The MBSL website, including its tools, content, visual elements, software code, and educational materials, is the intellectual property of MBSL Health Inc. and is protected by applicable intellectual property laws, including copyright, trademark, trade secret, and patent rights.
This includes, but is not limited to:
Website design and layout
Educational blog articles, text content, and graphics
Proprietary calculators and health-related tools
AI-powered insights, prompts, and generated outputs
Custom datasets, swap suggestions, blood sugar interpretation logic, and condition-specific recommendations
The MBSL logo, trademarks, and brand identity
You are granted a limited, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial use only.
You may not:
Copy, reproduce, modify, publish, distribute, display, transmit, sell, or create derivative works of any part of the Service without express written permission;

Copyright and DMCA Policy

You are not infringing on the rights of any third party;
Any testimonials or reviews you provide may be displayed publicly on our website or marketing materials (unless you request anonymity).
We value user collaboration and are committed to improving the platform with your input—but any suggestions you provide become part of our platform development pipeline at MBSL’s sole discretion.
Limitation of Liability
To the fullest extent permitted by applicable law, MBSL Health Inc., its affiliates, officers, employees, agents, contractors, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
Loss of revenue, data, profits, goodwill, or other intangible losses;
Costs of substitute services;
Personal injury or property damage;
Health consequences resulting from reliance on AI-generated recommendations, nutritional calculators, or any other tool offered on MBSL;
Unauthorized access to or alteration of your data;
Third-party conduct, including linked websites, embedded tools, or user-generated content;
Any decision, diagnosis, or health-related action you make based on the educational content or Services provided by MBSL.
This limitation applies regardless of the legal theory under which liability is asserted, including breach of contract, tort (including negligence), warranty, strict liability, or any other legal theory.
In no event shall the total liability of MBSL exceed the greater of:
The amount paid by you (if any) for using our Service in the twelve (12) months preceding the event giving rise to the claim; or
Three hundred U.S. dollars (USD $300.00).
Some jurisdictions do not allow certain limitations of liability or exclusion of damages. If any part of this section is deemed invalid or unenforceable under applicable law, the remainder shall remain in full force and effect.
You acknowledge that the limitations in this section are a fundamental part of the bargain between you and MBSL and are essential to the provision of our Service.
Indemnification
You agree to fully indemnify, defend, and hold harmless MBSL Health Inc., its officers, directors, employees, agents, affiliates, licensors, and service providers (“MBSL Parties”) from and against any and all claims, losses, damages, liabilities, judgments, awards, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:
Your use or misuse of the MBSL platform, tools, or Services;
Your violation of these Terms of Service or any other applicable agreement or policy;
Your reliance on AI-generated insights, nutrition calculators, or other non-medical tools provided by MBSL;
Any content or data you submit, transmit, post, or otherwise make available through the platform;
Your violation of any law or third-party rights, including but not limited to intellectual property, privacy, publicity, or healthcare regulations;
Your negligent, fraudulent, or willful misconduct while using or interacting with the Service.
MBSL reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with us in asserting any available defenses.
This section survives termination or suspension of your account and continues to apply even after you stop using the Service.
Dispute Resolution
You and MBSL Health Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Service, or your interaction with MBSL (collectively, “Disputes”) will be resolved through binding arbitration, rather than in court—except for limited exceptions described below.
Binding Arbitration
Any Dispute shall be submitted to final and binding arbitration, administered by a recognized arbitration body such as the American Arbitration Association (AAA) if in the U.S., or a comparable organization if outside the U.S.
Arbitration for claims under $10,000 may be conducted by telephone, online, or based solely on written submissions;
For claims exceeding $10,000, the arbitration will be conducted in the jurisdiction of Ontario, Canada, unless otherwise agreed;
Arbitrator decisions are binding and enforceable in any court of competent jurisdiction.
Class Action Waiver
By using MBSL, you agree to resolve Disputes only on an individual basis and waive any right to participate in:
A class action lawsuit;
A class-wide arbitration;
Private attorney general actions;
Consolidation with other arbitrations.
Exceptions
This arbitration agreement does not preclude either party from:
Seeking injunctive or equitable relief for the actual or threatened infringement of intellectual property rights;
Filing claims in small claims court where allowed by law.
Governing Law
This agreement and any Disputes shall be governed by and interpreted in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of laws principles.
If any part of this Dispute Resolution section is found unenforceable, the remainder shall still apply. However, if the Class Action Waiver is deemed unenforceable, the entire Dispute Resolution provision shall be void.
FTC Disclosure
MBSL is committed to transparency in its business practices, including relationships that may result in compensation or benefit from third-party products and services.
In accordance with the Federal Trade Commission (FTC) guidelines, you acknowledge and agree that:
Some links on the MBSL website may be affiliate links, meaning MBSL may receive a commission or referral fee if you click a link and make a purchase;
MBSL may occasionally receive free products or access to services for review, educational use, or testing;

Modifications to the Service
MBSL reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. This includes (but is not limited to):
Changing, adding, or removing features or tools;
Updating pricing, subscription tiers, or billing terms;
Adjusting educational content or guidelines;
Suspending or discontinuing the entire platform.
We may also revise these Terms of Service from time to time. If we do:

We may notify users via email or platform alerts when major updates occur;
Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
It is your responsibility to review these Terms periodically. If you disagree with the updated Terms, you must discontinue use of the Service.
Termination by MBSL
We reserve the right to suspend or terminate your access to the Service at our sole discretion, without prior notice or liability, for reasons including but not limited to:
Violation of these Terms or any other MBSL policy;
Suspicious activity, misuse of AI tools, or abuse of system resources;
Non-payment or unresolved billing issues (if applicable);
Behavior that is harmful, disruptive, or abusive toward other users or MBSL personnel.
Upon termination:
Your right to use the Service will immediately cease;
Any content you have submitted may be retained, deleted, or anonymized at our discretion;
Sections intended to survive termination—such as Intellectual Property, Disclaimers, Indemnification, and Limitation of Liability—will remain in effect.
Termination by You
You may terminate your account at any time via your dashboard or by contacting our support team. Termination will take effect at the end of your current billing cycle, if applicable.
Miscellaneous
Governing Law
These Terms shall be governed and interpreted in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict-of-law rules. You agree that any legal action or proceeding related to your use of the MBSL platform shall be brought exclusively in Ontario, Canada, unless otherwise required by applicable law.
Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.
Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without prior written consent from MBSL. Any unauthorized assignment is null and void.
MBSL may assign or transfer its rights and obligations under these Terms at any time, with or without notice.
Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right. Any waiver must be made in writing and signed by an authorized MBSL representative.
Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any other policies or notices we may provide, constitute the entire agreement between you and MBSL regarding the use of the Service. They supersede any prior agreements or understandings, whether written or oral.
No Third-Party Beneficiaries
These Terms are for the benefit of you and MBSL only. No third party shall have any rights to enforce these Terms.
